Plain-English summary: Dispatch Stream, LLC ("Dispatch Stream", "we", "us", "our"), an Illinois limited liability company, provides subscription software for trucking

1) Overview
These terms describe subscriptions, billing, trials, and add-on charges for Dispatch Stream. They apply to your
company account and all authorized users under that account.
These billing terms are incorporated into the Terms of Service, including the
disclaimers, assumption of risk, and limitation of liability provisions.
2) Plans, Seats, and Access
Plans and features: Each plan includes specific features and limits. Current plan details are shown in the product.
Seats: A seat is a licensed user slot. Your plan has a seat cap. You are responsible for keeping user counts within that cap.
Eligible add-ons: Some paid features may be offered only on specific base plans. For example, a recurring add-on may require an Ultimate subscription or another eligible paid plan.
Enforcement: If your account exceeds the seat cap, we may restrict invites, disable or de-provision users to enforce the cap, or require a plan change.
Default plan: New workspaces start on the Free plan unless you choose another option.
3) Trials
Trials are optional and offered at our discretion. We may limit trials by company, time window, or eligibility.
When available, the trial plan, duration, and seat caps are shown in the product and can change over time.
Eligibility: Trials are generally intended for new or eligible accounts and may not be available more than once. Prior trial usage, promotions, and account history may affect eligibility.
Seat caps: A base number of seats may be available without a payment method. Seats above that base may require billing to start or continue the trial.
No charges during trial: We do not charge during the trial period.
End of trial: If a payment method is on file and the trial is not canceled, the subscription converts to a paid plan at the end of the trial.
If no valid payment method is on file, the trial may cancel and the workspace may revert to the Free plan.
Trial offers: Trial offers may appear automatically in the product and may expire if not accepted.
4) Billing and Renewal
Subscriptions are billed in advance for the billing period shown at checkout (monthly or annual where available).
Subscriptions automatically renew unless canceled before the end of the current billing period.
We use third-party payment processors (such as Stripe) to process payments. You authorize us and our processors
to charge your payment method for subscription fees, add-ons, and applicable taxes.
At checkout, we present the subscription amount, billing frequency, and renewal terms. By completing checkout, you authorize recurring charges until canceled.
Recurring add-ons are billed on the same company subscription unless we expressly state otherwise. Enabling a recurring add-on does not create a separate standalone subscription unless checkout clearly says so.
You can cancel through the billing tools in the Service when available, or by contacting support. Unless required by applicable law, cancellation applies at the end of the current billing period and does not create a refund for the current period.
After cancellation or downgrade, data handling follows the retention terms in the Terms of Service and Privacy Policy, including potential deletion of inactive workspaces after the applicable retention window.
Self-service billing actions may depend on active processor configuration and account setup. If a full billing portal action is unavailable, we may provide available actions only (for example, payment method updates) until configuration or account requirements are met.
5) Plan Changes and Proration
Upgrades or seat increases: May take effect immediately and may include a prorated charge for the remaining billing period.
Downgrades or seat reductions: Typically take effect at the start of the next billing period.
Recurring add-on enablement: May take effect immediately and may create a prorated charge due now for the remainder of the current billing period.
Recurring add-on cancellation: Typically takes effect at the end of the current billing period unless checkout or a written agreement states otherwise.
Add-on resume: If an add-on was scheduled to end at renewal, we may allow you to resume renewal before the current period ends.
Scheduled changes: Some changes may be scheduled for the next cycle. You can view or confirm pending changes in Billing.
No negative credits: If a proration calculation is zero or negative, the charge is waived and no credits are issued unless required by law.
Base plan remains separate: Canceling a recurring add-on does not by itself cancel the underlying base subscription.
6) Add-ons and Usage-Based Features
Some features include usage limits (for example, document processing, automation credits, mapping requests,
messaging activity, or recurring Copilot access) and optional add-ons that can be purchased in the product. Add-on pricing, usage
allocations, and whether billing occurs up-front or in arrears are shown at checkout or in the subscription UI
and may vary by plan.
Recurring add-ons: Some add-ons renew each billing cycle until canceled and may remain active until the end of the already-paid billing period if canceled mid-cycle.
Measurement: Usage is calculated using system logs and event records.
Expiration: Unless stated otherwise in the product, usage allocations reset each billing period and unused allocations do not roll over.
No refunds: Add-ons and usage allocations are non-refundable unless required by law or explicitly stated in a written enterprise agreement.
Overages: If you exceed included usage, we may require an add-on purchase or restrict the feature until the next cycle. We do not automatically bill overage fees without explicit confirmation.
7) Taxes
Taxes are calculated based on your billing address and applicable law. You are responsible for taxes and government
charges, except taxes on our net income.
8) Non-Payment
If payment is past due or fails, we may suspend access to paid features until the account is brought current.
9) Refunds
Fees are non-refundable unless required by law or explicitly stated in a written enterprise agreement.
10) Enterprise Terms
If your company has a signed enterprise agreement or order form, those terms control over any conflicting language
in this document.
11) Changes to These Terms
We may update these terms from time to time. Material changes will be communicated in the product or via email. For material updates, we may require affirmative in-product acceptance before continued access to some or all billing features.
